Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you and Lens Latitude (“Lens Latitude,” “we,” “us,” or “our”) and govern your access to and use of the Lens Latitude website, mobile experiences, listings, messaging, booking tools, payment features, and any related services (collectively, the “Platform”). Please read these Terms carefully. By creating an account, listing gear, requesting or accepting a booking, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the policies incorporated by reference below. If you do not agree, you must not use the Platform.

1. Acceptance and Related Policies

These Terms incorporate by reference our Privacy Policy, Cookie Policy, Cancellation Policy, Community Guidelines, and Nondiscrimination Policy, together with any booking terms, rules, or supplemental policies presented to you at the point of a transaction. Each of these documents forms part of your agreement with Lens Latitude, and your continued use of the Platform constitutes acceptance of them as amended from time to time. Where a supplemental policy conflicts with these Terms in respect of a specific feature, the supplemental policy governs to the extent of that conflict.

2. Definitions

In these Terms: “Gear” means cinema, photography, lighting, audio, grip, and related equipment and accessories made available for rent through the Platform; “Host” means a user who lists Gear for rent; “Renter” means a user who requests, books, or uses listed Gear; “Listing” means a Host’s published offer of Gear together with its description, pricing, availability, and rules; “Booking” or “Reservation” means a confirmed agreement between a Host and a Renter for the rental of Gear; “Content” means text, photographs, reviews, messages, and other materials submitted to the Platform; and “Collective Services” refers to the entirety of the Platform and everything we make available through it. Words importing the singular include the plural and vice versa.

3. Eligibility and Account Registration

To use the Platform, you must be at least the age of majority in your province or territory of residence, be able to form a legally binding contract, and not be barred from using the Platform under applicable law. You agree to provide information that is accurate, current, and complete, and to keep it updated. Because Gear rental depends on identity, ownership, and insurance, you agree that the name on your account must match your government-issued identification and any certificate of insurance you provide.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us promptly of any suspected unauthorized access or security breach. We may refuse registration to, or suspend or close the account of, any person who provides false information, violates these Terms, or presents safety, payment, fraud, or legal-compliance concerns.

4. Our Role as a Marketplace

Lens Latitude operates an online marketplace that connects Hosts who wish to rent out Gear with Renters who wish to book it. Unless we expressly state otherwise in writing, Lens Latitude does not own, sell, rent out, inspect, service, or take custody of any Gear listed on the Platform, is not a party to the rental relationship between a Host and a Renter, and is not the provider of any equipment-rental or insurance service. The contract for each rental is formed directly between the Host and the Renter. We provide tools that facilitate discovery, communication, booking, payment processing, documentation, and dispute facilitation, but the responsibility for each rental, and for the Gear itself, rests with the Host and the Renter.

5. Host Responsibilities and Listings

As a Host, you represent and warrant that you legally own the Gear you list, or are otherwise authorized to rent it, and that renting it through the Platform does not violate any agreement, licence, warranty, or law to which you are subject. You are responsible for creating accurate Listings, including honest descriptions, current photographs, functional condition, included accessories, applicable rules, availability, and pricing. You must ensure that listed Gear is clean, in good working order, safe to use, and, where applicable, compliant with registration, licensing, insurance, and safety requirements.

You are responsible for setting your own rental terms within the parameters the Platform allows, for handing off and receiving back Gear in a timely manner, for documenting condition at pickup and return, and for responding to Renter communications and booking requests promptly. You may not use Listings to advertise off-Platform transactions, to misrepresent Gear, or to circumvent fees.

6. Renter Responsibilities

As a Renter, you agree to review each Listing carefully before booking, to use the Gear only for its intended purpose and in a lawful, safe, and careful manner, to comply with the Host’s stated rules, and to return the Gear on time and in substantially the same condition in which you received it, excluding ordinary wear. You are responsible for the Gear from pickup to return, including protecting it against loss, theft, damage, and misuse, whether caused by you or by any person you permit to handle it. You must not sublet, resell, or transfer possession of the Gear except as expressly permitted, and you must not remove the Gear from any geographic area the Host has restricted.

7. Bookings and the Rental Agreement

A Booking is confirmed when the Platform accepts a Renter’s request and the applicable authorization or payment is completed. At that point, a binding rental agreement is formed between the Host and the Renter on the terms shown at checkout, together with these Terms and the incorporated policies. You agree that Lens Latitude may communicate booking details, confirmations, reminders, and changes to you electronically, and that electronic records satisfy any requirement that such communications be in writing.

Requests to modify a Booking — including extending, shortening, or changing the Gear — must be made through the Platform and may be subject to Host approval, availability, and revised pricing. Arrangements made outside the Platform are not supported, may forfeit protections, and are undertaken at the parties’ own risk.

8. Payments, Fees, Taxes, and Deposits

By submitting a Booking or publishing a Listing, you authorize Lens Latitude and our third-party payment processors to charge, collect, hold, disburse, or refund the amounts associated with your transactions, including rental charges, service fees, delivery charges, optional extras, applicable taxes, security deposits, penalties, reimbursements for damage or loss, and any other amounts due under a Reservation or these Terms. Service fees are earned when a Booking is confirmed and are non-refundable except as expressly provided in an applicable policy or as required by law.

A security deposit or a pre-authorization hold may be required for certain Bookings; where it is, you authorize us or our processor to place the hold and to apply it toward amounts you owe for loss, damage, late return, cleaning, or other charges permitted under these Terms. You are responsible for any taxes applicable to your transactions except those we are required to collect and remit. Payouts to Hosts are subject to successful payment collection, verification, and any applicable holds, deductions, or reversals.

9. Cancellations and Refunds

Cancellations, refunds, credits, no-show outcomes, and cancellation-related payouts are governed by our Cancellation Policy and by the specific booking terms shown at checkout and in effect at the time of the Reservation. By making or accepting a Booking, you agree to the cancellation terms that apply to it. Nothing in these Terms or that policy limits any non-waivable refund or cancellation right you may have under applicable consumer-protection law.

10. Insurance, Protection, and Certificates

Unless expressly stated, Lens Latitude is not an insurer and does not provide insurance coverage for Gear, Hosts, or Renters. Hosts are responsible for maintaining any insurance appropriate to their Gear and for understanding whether renting it out affects their coverage. Renters are responsible for confirming that they hold, or obtain, coverage appropriate to their use of the Gear. Where the Platform requires a certificate of insurance or comparable documentation as a condition of listing or booking, you must provide accurate, valid documentation and keep it current. Any protection product, guarantee, or reimbursement program we may offer applies only on its own stated terms and is not a substitute for insurance.

11. Damage, Loss, Theft, and Claims

Renters must promptly report any loss, theft, malfunction, late return, or damage that occurs during a Booking, and must cooperate with any resulting review. Hosts must document the condition of Gear at pickup and return, submit eligible claims accurately and in good faith, mitigate their losses, and cooperate with the resolution process. Lens Latitude may provide tools to support claims, communication, and evidence, and may facilitate the resolution of disputes, but the parties remain responsible for their respective obligations, and any reimbursement is subject to the applicable policy, evidence provided, and our reasonable assessment. Submitting false or exaggerated claims is a serious violation of these Terms.

12. Verification, Trust, and Safety

To promote trust and safety, we may, but are not obligated to, verify identity, ownership, insurance, or other information; screen accounts and transactions for fraud or risk; and take action where we detect concerns. You authorize us to make inquiries we consider necessary to verify your identity and eligibility and to assess risk, and you agree that we may rely on third-party providers for these purposes. Verification does not constitute an endorsement or guarantee of any user, and you remain solely responsible for exercising your own judgment before, during, and after a rental.

13. Prohibited Conduct

You agree not to: provide false, misleading, or fraudulent information; evade or manipulate fees, or arrange off-Platform payment for transactions initiated on Lens Latitude; harass, threaten, defame, or discriminate against any person, or otherwise breach our Community Guidelines or Nondiscrimination Policy; post unlawful, infringing, or harmful Content; use Gear in a manner that is unsafe, unlawful, or contrary to the Host’s rules; interfere with, disrupt, probe, or reverse engineer the Platform or its security; scrape or harvest data; use bots or automated means without authorization; or use the Platform for any purpose that is illegal or that these Terms prohibit. We may investigate suspected violations and take action, including removing Content, cancelling Bookings, withholding payouts where permitted, restricting features, or terminating access.

14. User Content and Licence

You retain ownership of the Content you submit. By submitting Content, you grant Lens Latitude a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, use, reproduce, adapt, publish, translate, distribute, and display that Content in connection with operating, improving, and promoting the Platform, in any media. You represent and warrant that you have the rights necessary to grant this licence and that your Content does not infringe the rights of any third party or violate any law. We may, but are not obligated to, review, moderate, or remove Content that we reasonably believe violates these Terms or applicable law.

15. Intellectual Property

The Platform, including its software, design, text, graphics, logos, and other materials (excluding user Content), is owned by Lens Latitude or its licensors and is protected by intellectual-property and other laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Platform, or reuse our trademarks or protected materials, except as permitted by law or with our prior written consent.

16. Reviews and Ratings

Reviews and ratings help our community make informed decisions. You agree to provide reviews that are honest, based on genuine experience, and free of unlawful, discriminatory, or irrelevant content. You may not offer or accept anything of value in exchange for a review, submit reviews to manipulate ratings, or use reviews to harass or retaliate against another user. We may remove reviews that violate these Terms or our policies, but we do not endorse and are not responsible for the opinions expressed in user reviews.

17. Third-Party Services

The Platform may integrate with or link to third-party services, such as payment processors, mapping providers, identity-verification vendors, hosting providers, and analytics tools. Those services are governed by their own terms and privacy practices, and Lens Latitude is not responsible for their acts, omissions, content, or availability. Your use of a third-party service is at your own risk and subject to that provider’s terms.

18. Disclaimers

Except as expressly stated and to the fullest extent permitted by applicable law, the Platform and all Collective Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free, that Listings are accurate or complete, or that any Host, Renter, or Gear will meet your expectations. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you, and nothing in these Terms limits any non-excludable statutory rights you may have.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Lens Latitude and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of the Platform or the conduct of any user or Gear, whether based in contract, tort, statute, or otherwise, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Platform or these Terms will not exceed the greater of the total fees you paid to Lens Latitude in the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100). These limitations do not apply to liability that cannot be limited or excluded under applicable law, including certain rights under consumer-protection legislation.

20. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Lens Latitude and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your use of the Platform, your Listings or Bookings, your Content, your Gear, your breach of these Terms or any policy, or your violation of any law or the rights of a third party.

21. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles, and subject to any mandatory consumer protections available to you in your province or territory of residence. Before commencing any formal proceeding, you agree to first contact us and attempt in good faith to resolve the dispute informally. Subject to applicable law, you and Lens Latitude agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute not resolved informally, except that either party may seek relief before the courts or tribunals of the user’s home jurisdiction where required by law. Nothing in this section deprives you of the protection of mandatory provisions of the law of your place of residence.

22. Suspension and Termination

You may stop using the Platform and close your account at any time. We may suspend, limit, or terminate your access, remove Content, or cancel pending Bookings where we reasonably believe it is necessary to protect users, enforce our Terms or policies, prevent fraud or harm, or comply with legal requirements. Where practicable and permitted, we will provide notice. Provisions that by their nature should survive termination — including those relating to payments owed, content licences, disclaimers, liability limits, indemnification, and dispute resolution — will survive.

23. Changes to These Terms

We may update these Terms from time to time by posting a revised version on the Platform and updating the “Last updated” date. Where changes are material, we will take reasonable steps to notify you. Changes are effective when posted, or on a later date if we specify one. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Platform.

24. General Provisions

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Lens Latitude regarding the Platform and supersede any prior agreements on that subject. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, or as otherwise permitted by law. These Terms do not create any agency, partnership, joint venture, or employment relationship. The parties confirm their express wish that these Terms and all related documents be drawn up in English; les parties confirment leur volonté expresse que la présente entente et tous les documents s’y rattachant soient rédigés en anglais.
